Associate Lawyer (Corporate/M&A)

They are seeking a highly skilled and experienced Corporate/M&A Lawyer to join their team. The successful candidate will play a key role in advising clients on a wide range of corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings, and other strategic initiatives.

Responsibilities:

• Provide legal advice and strategic guidance to clients on corporate governance matters, including compliance with applicable laws and regulations.
• Draft, review, and negotiate a variety of corporate and commercial agreements, including mergers and acquisitions agreements, shareholder agreements, joint venture agreements, and other transactional documents.
• Conduct due diligence investigations and risk assessments in connection with corporate transactions.
• Assist in the structuring and execution of complex corporate transactions, including mergers, acquisitions, divestitures, and reorganizations.
• Collaborate with internal and external stakeholders, including clients, opposing counsel, and other advisors, to effectively represent clients' interests and achieve successful outcomes.
• Stay abreast of legal and regulatory developments affecting corporate and M&A transactions and advise clients accordingly.
• Provide guidance and mentorship to junior associates and support staff as needed.

Qualifications:

• Swiss bar exam and minimum 2 years of experience practicing corporate law, with a focus on mergers and acquisitions.
• Demonstrated expertise in structuring, negotiating, and closing corporate transactions of varying sizes and complexity.
• Strong analytical, problem-solving, and decision-making skills.
• Excellent communication and interpersonal skills
• Fluent German and English, French or any other language is considered a plus
• Proven ability to work independently and collaboratively in a fast-paced, team-oriented environment.
