Our client is a dynamic full-cycle Swiss business law firm dedicated to providing exceptional legal services to a diverse range of clients from start-ups to multinational corporations.
They are seeking a highly skilled and experienced Corporate/M&A Lawyer to join their team. The successful candidate will play a key role in advising clients on a wide range of corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings, and other strategic initiatives.
Responsibilities:
- Provide legal advice and strategic guidance to clients on corporate governance matters, including compliance with applicable laws and regulations.
- Draft, review, and negotiate a variety of corporate and commercial agreements, including mergers and acquisitions agreements, shareholder agreements, joint venture agreements, and other transactional documents.
- Conduct due diligence investigations and risk assessments in connection with corporate transactions.
- Assist in the structuring and execution of complex corporate transactions, including mergers, acquisitions, divestitures, and reorganizations.
- Collaborate with internal and external stakeholders, including clients, opposing counsel, and other advisors, to effectively represent clients' interests and achieve successful outcomes.
- Stay abreast of legal and regulatory developments affecting corporate and M&A transactions and advise clients accordingly.
- Provide guidance and mentorship to junior associates and support staff as needed.
Qualifications:
- Swiss bar exam and minimum 2 years of experience practicing corporate law, with a focus on mergers and acquisitions.
- Demonstrated expertise in structuring, negotiating, and closing corporate transactions of varying sizes and complexity.
- Strong analytical, problem-solving, and decision-making skills.
- Excellent communication and interpersonal skills
- Fluent German and English, French or any other language is considered a plus
- Proven ability to work independently and collaboratively in a fast-paced, team-oriented environment.
